Terms of Service

1. About Us
ManufactureIQ (“we”, “us”, “our”) is an AI-powered financial and ESG reporting platform operated from the United Kingdom. By accessing or using ManufactureIQ at www.manufactureiq.org.uk (“the Service”), you (“Customer”, “you”, “your”) agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and ManufactureIQ.
2. Eligibility
You must be at least 18 years old and have full legal authority to enter into these Terms on behalf of your organisation. By accepting these Terms, you represent and warrant that you have such authority. The Service is intended for business use by UK-based manufacturers and related commercial organisations. Consumer use is not intended and the Consumer Rights Act 2015 does not apply.
3. Your Account
You are responsible for maintaining the strict confidentiality of your login credentials and for all activity that occurs under your account, whether authorised by you or not. You must notify us immediately at hello@manufactureiq.org.uk upon becoming aware of any unauthorised access or breach of security. You may not share account credentials with persons outside your organisation. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.
4. Subscription and Payment
The Service is provided on a subscription basis. Fees are charged monthly or annually in advance via Stripe. All prices are shown in GBP and exclude VAT, which will be added at the applicable UK rate where required. Current pricing is published at /pricing; the indicative tier structure at the date of these terms is:
- Starter — £950/month + VAT (or £760/month on an annual commitment), up to 3 users
- Growth — £2,750/month + VAT (or £2,200/month on an annual commitment), up to 15 users
- Enterprise — £6,500/month + VAT (or £5,200/month on an annual commitment), unlimited users
You may cancel your subscription at any time via the billing portal. Cancellation takes effect at the end of the current billing period — no refunds are issued for partial months. We reserve the right to change pricing with 30 days' written notice by email. Continued use after the notice period constitutes acceptance of the new pricing. Failure to pay fees when due may result in suspension of access without further notice.
5. Acceptable Use
You agree not to use the Service in any manner that is unlawful, harmful, or that we reasonably consider inappropriate. Without limitation, you agree not to:
- Use the Service for any purpose that breaches applicable UK or EU law or regulation
- Upload, submit, or transmit content that infringes any third-party intellectual property, privacy, or other rights
- Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Service
- Use automated tools, scripts, bots, or scrapers to access, copy, or overload the Service
- Resell, sublicense, white-label, or otherwise commercially exploit access to the Service without our prior written consent
- Introduce malware, viruses, or any other harmful code into the Service or its infrastructure
- Attempt to gain unauthorised access to any part of the Service, its databases, or connected systems
- Use the Service to harass, defame, or harm any individual or organisation
We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities as required.
6. Your Data and Accuracy
You retain full ownership of all financial, ESG, and operational data you upload to the Service (“Customer Data”). We process your Customer Data solely to provide the Service as described in our Privacy Policy. We do not sell your Customer Data to third parties.
You are solely responsible for the accuracy, completeness, and legality of all Customer Data you upload. ManufactureIQ does not verify the accuracy of data you provide and accepts no liability for reports, insights, or outputs generated from inaccurate or incomplete data. You agree to indemnify us against any losses arising from inaccurate data you supply.
7. AI-Generated Content Disclaimer
The Service uses proprietary artificial intelligence to generate financial insights, ESG analysis, forecasts, commentaries, and reports. AI-generated content is provided strictly for informational and illustrative purposes only. It does not constitute, and must not be relied upon as, financial advice, legal advice, investment advice, tax advice, accounting advice, or regulatory compliance advice.
AI systems can produce inaccurate, incomplete, or misleading outputs. You are solely responsible for independently verifying all AI-generated content before making any business, financial, regulatory, or legal decisions. ManufactureIQ expressly disclaims all liability for any decisions made based on AI-generated outputs without independent professional verification.
8. Intellectual Property
All software, algorithms, interfaces, designs, trademarks, logos, and content forming part of the ManufactureIQ platform are our exclusive property or are licensed to us, and are protected by applicable intellectual property laws. These Terms grant you only a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during your active subscription period, solely for your internal business purposes. You acquire no ownership rights in the Service or any part of it.
9. Availability, Modifications and Downtime
We aim to maintain high availability but do not guarantee uninterrupted, error-free, or virus-free access to the Service. We reserve the right to modify, update, suspend, or discontinue features of the Service at any time, with or without notice. We will use reasonable endeavours to provide advance notice of material changes where practicable. Planned maintenance will be scheduled where possible during off-peak hours. We shall not be liable for any loss arising from Service unavailability or changes to features.
10. Limitation of Liability
To the fullest extent permitted by applicable law, ManufactureIQ and its officers, directors, employees, agents, and licensors shall not be liable for:
- Any indirect, incidental, special, consequential, punitive, or exemplary damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Business interruption, system failures, or data loss
- Losses arising from reliance on AI-generated content
- Losses arising from third-party services integrated with or linked to the platform
Our total aggregate liability to you for all claims arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total fees actually paid by you to ManufactureIQ in the 12-month period immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
11. Indemnification
You agree to defend, indemnify, and hold harmless ManufactureIQ, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) the inaccuracy or illegality of any Customer Data you submit; (d) your violation of any third-party right; or (e) any claim by a third party arising from your use of AI-generated outputs without independent verification.
12. Termination and Suspension
Either party may terminate these Terms on 30 days' written notice. We may suspend or terminate your account immediately and without notice if you: (a) materially breach these Terms; (b) fail to pay fees when due; (c) become insolvent, enter administration, or cease trading; or (d) engage in conduct that we reasonably consider harmful to us, other users, or third parties.
On termination for any reason: your licence to use the Service ceases immediately; you may request an export of your Customer Data within 30 days of termination; after 30 days, we may delete your Customer Data without further notice. Termination does not affect accrued rights or obligations. Clauses 6, 7, 8, 10, 11, 13, and 14 survive termination.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under these Terms to the extent caused by circumstances beyond that party's reasonable control, including but not limited to acts of God, pandemic, civil unrest, government action, internet or infrastructure outages, or failures of third-party providers. The affected party shall promptly notify the other party of the force majeure event and shall use reasonable endeavours to resume performance as soon as practicable.
14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales to settle any dispute or claim arising under or in connection with these Terms.
15. General
Entire Agreement. These Terms (together with the Privacy Policy, Cookie Policy, and any order form or subscription confirmation) constitute the entire agreement between you and ManufactureIQ relating to the Service and supersede all prior agreements, representations, and understandings.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
No Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights to any successor entity or in connection with a merger, acquisition, or sale of assets.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
